Another Option After the Sale

Already sold an appreciated asset and received the proceeds? While a 1031 exchange generally needs to be established before receiving the sale proceeds, a Qualified Opportunity Fund (QOF) may provide another potential tax-planning opportunity for certain eligible gains.

What Is a Qualified Opportunity Zone?

A Qualified Opportunity Zone (QOZ) is a designated area where qualifying investments may receive preferential federal tax treatment. The program was created to encourage long-term private investment in designated communities throughout the United States.

What Is a Qualified Opportunity Fund?

A Qualified Opportunity Fund (QOF) is an investment vehicle organized to invest in qualifying businesses or property located within Opportunity Zones.

Rather than investing directly into an Opportunity Zone yourself, investors generally access the strategy by investing eligible gains into a QOF.

What Are the Potential Benefits of Opportunity Zones?

Qualified Opportunity Funds may allow investors to defer taxes on eligible capital gains while investing in designated Opportunity Zones. Depending on the investment and holding period, investors may also receive additional tax benefits on the QOF investment’s future appreciation, making the strategy particularly attractive for long-term investors.

What Are the Potential Benefits of a Qualified Opportunity Fund?

Unlike a 1031 exchange, which generally requires reinvesting the proceeds into qualifying replacement real estate without first taking receipt of the funds, a QOF may allow you to invest after the sale and after receiving your proceeds. Generally, you have 180 days to invest eligible gain, and you can choose to invest only the gain rather than the entire sale proceeds.

The amount of eligible gain invested can receive temporary tax deferral, while a qualifying QOF investment held for the required long-term period may also provide significant tax benefits on the future appreciation of the QOF investment itself.

The basic process is straightforward:

  1. Sell an Appreciated Asset
  2. Realize an Eligible Gain
  3. Invest Some or All of the Eligible Gain Into a QOF
  4. QOF Invests in Qualified Opportunity Zone Property or Businesses
  5. Potential Tax Benefits Based on Applicable Rules and Holding Period

Unlike a 1031 exchange, an Opportunity Zone investment can potentially be funded after you've already received the sale proceeds, and only the eligible gain generally needs to be invested to defer that portion—you do not necessarily need to reinvest the entire sale proceeds.
